Terms and Conditions for Web Development Services

These Terms and Conditions govern the provision of web development and related services. By engaging the developer for services, the client acknowledges and agrees to be bound by the following terms.

1. Scope of Work

The scope of the project will be clearly defined, documented, and mutually agreed upon prior to the commencement of work. This includes deliverables, timelines, technologies to be used, and any specific functionalities.

Any requests for additional features, modifications, or enhancements outside the agreed scope will be treated as a change request. Such changes may result in additional costs, revised timelines, and may require a separate agreement or written approval before implementation.

2. Project Timeline and Delivery

The developer will make reasonable efforts to complete the project within the agreed timeframe. However, timelines are estimates and may be subject to change based on project complexity, revisions, or unforeseen circumstances.

Delays caused by the client—including but not limited to late submission of content, delayed approvals, or lack of communication—may result in corresponding delays in delivery. The developer shall not be held responsible for such delays.

3. Client Responsibilities

The client agrees to provide all necessary materials required for the project, including text content, images, branding assets, credentials, and any other relevant information, in a timely manner.

The client is solely responsible for ensuring that all provided materials are accurate, lawful, and do not infringe upon any third-party rights. The developer will not be liable for any issues, errors, or legal consequences arising from incorrect, incomplete, or unauthorized materials supplied by the client.

4. Payment Terms

Payment terms will be defined and agreed upon before the start of the project. This may include:

  • An advance or deposit payment prior to project initiation
  • Milestone-based payments during the project
  • Final payment upon completion and before final delivery or deployment

Failure to adhere to payment schedules may result in suspension of work, withholding of deliverables, or termination of the project. Any delays in payment may also extend the project timeline accordingly.

5. Revisions and Approvals

A reasonable number of revisions may be included as part of the project, as agreed in advance. Additional revisions beyond this limit may incur extra charges.

The client is responsible for reviewing and approving deliverables within a reasonable timeframe. Delayed feedback may impact project timelines.

6. Ownership and Intellectual Property

Upon full and final payment, ownership rights of the completed website or application will be transferred to the client.

However, ownership does not extend to:

  • Third-party tools, plugins, frameworks, or software used in the project
  • Licensed assets, stock images, or proprietary components

Such elements remain subject to their respective licenses and terms. The client agrees to comply with all applicable third-party licensing requirements.

7. Portfolio Rights

Unless otherwise agreed in writing, the developer reserves the right to display the completed project, including screenshots, descriptions, and links, in their portfolio, marketing materials, and professional showcases.

8. Maintenance and Support

Unless explicitly included in the agreement, ongoing maintenance, updates, or technical support are not part of the project scope.

Any post-delivery support, bug fixes, or updates may be provided under a separate maintenance agreement or billed on an hourly or fixed-fee basis.

9. Performance and Security

The developer will implement reasonable measures to ensure the functionality, performance, and basic security of the website or application at the time of delivery.

However, the developer does not guarantee:

  • Continuous, uninterrupted, or error-free operation
  • Protection against all potential security threats

The developer shall not be held liable for issues arising from hosting environments, server failures, cyber-attacks, third-party integrations, or software updates beyond their control.

10. Third-Party Services

Projects may involve integration with third-party services such as hosting providers, payment gateways, APIs, or plugins.

The developer is not responsible for the performance, availability, or changes in policies of such third-party services. Any costs associated with these services are the responsibility of the client unless otherwise stated.

11. Confidentiality

Both parties agree to maintain confidentiality of any sensitive or proprietary information shared during the course of the project. Such information shall not be disclosed to any third party without prior written consent, except as required by law.

12. Termination

Either party may terminate the project by providing prior written notice. In such cases:

  • The client agrees to pay for all work completed up to the termination date
  • Any advance payments are non-refundable unless otherwise agreed
  • Deliverables will be provided proportionate to the amount paid

The developer reserves the right to terminate the agreement in case of breach of terms, non-payment, or lack of cooperation from the client.

13. Limitation of Liability

To the fullest extent permitted by law, the developer shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of business, revenue, data, or profits arising from the use or inability to use the delivered product.

14. Dispute Resolution

In the event of any disputes, both parties agree to attempt resolution through mutual discussion and good faith negotiation.

If the dispute cannot be resolved amicably, it shall be subject to the jurisdiction of the appropriate legal authorities as agreed upon by both parties.

15. Amendments

These Terms and Conditions may be updated or modified with mutual consent. Any changes must be documented and agreed upon in writing.
